Listing Obligations and Disclosure Requirements (LODR) refer to the regulations mandated by the Securities Exchange Board of India (SEBI), aimed at consolidating and standardizing the provisions regarding disclosures by listed entities. These regulations apply to entities listed on recognized stock exchanges such as the National Stock Exchange (NSE), Bombay Stock Exchange (BSE), or Small and Medium Enterprise Exchange (SME).

Once a company is listed on a stock exchange, it is obligated to adhere to ongoing conditions and disclosure requirements to maintain its status as a listed entity. The term “listed entity” encompasses entities that have listed designated securities on recognized stock exchanges in accordance with the listing agreement.

These regulations apply to listed entities that have listed designated securities, non-convertible debt securities, Indian depository receipts, securitized debt instruments, units issued by mutual funds, and other specified securities.

The principles governing disclosures and obligations include protecting shareholders’ rights, providing timely information, ensuring equitable treatment, maintaining transparency in disclosure, and defining the responsibilities of the board of directors.

Common obligations of listed entities include responsibilities of key managerial personnel, appointment of compliance officers and share transfer agents, preservation of documents, filing of information with stock exchanges, redressal of investor complaints, and compliance with various regulations regarding dividends, financial reporting, and corporate governance.

Specific obligations depend on the type of securities listed, including composition of the board of directors, establishment of committees, formulation of policies, adherence to corporate governance requirements, disclosure of material events, maintenance of asset cover, review of credit rating, and various other requirements.

Failure to comply with these regulations may result in fines, suspension of trading, freezing of promoter holdings, or other actions specified by SEBI and the respective stock exchanges. The regulations also outline procedures for revocation of imposed actions and consequences for failure to pay fines.
